This Agreement is between Pittsburgh IT LLC, a Pennsylvania limited liability company (“we,” “us,” or “Pittsburgh IT”), reachable at jon@pgh-it.com and (412) 440-0099, and the business named in the Order at the end of this Agreement (“you” or “the Client”). This is purchased for business use — not for personal, family, or household purposes. The Agreement is written in plain English on purpose — it says what we do, what it costs, and who owns what. No surprises.
1. The plan at a glance

2. How this Agreement is accepted
This Agreement takes effect when you sign the Order at the end of it, or confirm the Order in writing (email is fine) and pay the first amount due under it.
This Agreement is published at pgh-it.com/terms/custom-website-build, with its version number and effective date at the top. If we update it, changes apply to new Orders and, for work already underway, only from the point you agree to them in writing — never retroactively. Prior versions are archived and available on request.
3. What we build
We design and build your website from the ground up. Unlike a template build, its structure, page count, layout, and features are defined for your business and set out in your Order. That Order is the scope — it is what we are agreeing to build, and it is what the build fee covers.
- Discovery and design. Before we build anything we agree what the site needs to do and who it is for, and we show you a design direction. Once you approve that direction, we build to it.
- Built from what you have. We build from your existing brand, photos, and business information, plus anything your Order says we are producing for you. If you don’t have photos or copy, we’ll work from your public presence and tell you plainly where the gaps are.
- Three revision rounds. The build includes three rounds of revisions before launch (a round is one consolidated list of changes), unless your Order says otherwise. Changes after launch are handled through the monthly edits in your care plan (Section 4).
- Changes to scope. If you ask for something outside the Order — extra pages, a feature we didn’t scope, or a redesign after the design direction is approved — we quote it in writing and you approve it before we start. Out-of-scope work is never a surprise on an invoice.
- Launch timing. Your Order states a target launch window. It assumes we receive your content and approvals when we ask for them; if we’re waiting on you, the window moves by the length of the wait. If the delay is ours, Section 6 applies.
4. Ongoing care and hosting
Every Custom site we build runs on a $150/mo care plan. It keeps your site fast, secure, and current:
- Hosting, HTTPS, and uptime monitoring. Your site runs on modern, secure infrastructure. There is no WordPress, no plugins, and nothing to patch — which removes the most common way small-business websites get hacked.
- Content edits. Need new photos, updated hours, a price change, a seasonal promo? Email us the change. The plan includes two updates each month: one standard update — a routine content change of up to thirty (30) minutes of work, published within three (3) business days — and one emergency update — a single time-sensitive content change of up to ten (10) minutes of work, published by the end of the next business day. Timeframes begin once Pittsburgh IT has received a complete, in-scope request. “Emergency” refers to a client-requested time-sensitive content change, not website uptime or outages, which are covered under monitoring. Unused updates don’t roll over and expire at month-end. Larger changes are quoted before we start — never billed as a surprise.
- A direct line to the person who built your site. No ticket queues, no call centers. You reach the builder directly.
- Domain management. Registration, renewal, and DNS handled for you, at no extra cost, for as long as your plan is active (Section 5).
5. Your domain
- Domains we register for you. If you don’t have a domain, we register one for your business. It is registered in your name — you are the legal owner from day one. We manage it in our registrar account and pay its registration and renewal at our own cost for as long as your plan is active, so you never have to touch DNS settings or renewal notices.
- Domains you already own. They stay yours, always. With your authorization we’ll bring them into our registrar account so everything sits in one place and gets managed and renewed for you at no extra cost. You remain the registered owner throughout. If you’d rather leave them where they are, we’ll work with whatever access you can give us — consolidating is simply what lets us keep an eye on them.
- If you leave. Your account must be current: the build fee paid in full, all other invoices for work on your account paid, and a one-time $100 offboarding fee paid up front. The fee is not optional — offboarding is outside your monthly plan, which covers maintaining and updating your site, not moving you off it. The fee covers taking your site off our platform, disconnecting it from our systems, packaging your files, exporting your leads, and releasing your domains. Once everything has cleared, we complete the handover within 10 business days of your written request. Transfers are subject to registry rules — for example, registries prohibit transferring any domain during the first 60 days after registration.
6. Payment
- The build fee. Your Order states the build fee and the schedule it is payable on. We begin work once the first amount due under the Order has cleared, and we launch once the build fee is paid in full. Pennsylvania sales tax applies and is added to each invoice.
- The monthly plan. ongoing care is $150/month plus sales tax, charged automatically on the same day each month, beginning the day your site launches. A valid card on file with automatic payment is a requirement of the plan.
- If we’re the holdup. If launch is delayed more than 30 days beyond the window in your Order for reasons within our control, monthly billing does not begin until your site is live. Delays caused by waiting on your content or approvals don’t pause anything (Section 3).
- If a build payment is missed. Work pauses until the account is current. We’ll tell you before we stop, and we’ll pick back up as soon as it clears — but a paused build moves the launch window.
7. Who owns what
- Until the build fee is paid in full: the website is Pittsburgh IT’s property. You are paying for it on the schedule in your Order, and it becomes yours when that is complete.
- Once the build fee is paid in full: the website — its design, content, and files — is yours. That is true whether or not you ever leave, and it doesn’t expire.
- Owning it and holding it are different things. Your site runs on our platform. To take it off our platform, your account must be current — the build fee paid in full, all other invoices paid, and the $100 offboarding fee paid up front (Section 5). The fee is not optional; offboarding is work your monthly plan does not cover.
- Your domains: registered in your name and yours from the start. We manage them and pay for them while your plan is active (Section 5).
- Always yours: your business name, logo, photos, and any content you provide remain yours at all times. Every lead, call, and customer your site generates is yours alone — we never resell or share them, and you can export them yourself at any time.
- Always ours: our internal tools, templates, code libraries, and know-how used to build and run sites. Nothing we host, operate, or run on our own systems is part of the site you’re buying — whatever it is, and whenever we added it. That includes Front Desk and everything attached to it: “included” in your plan means included while your plan is active. Where our templates, markup, and stylesheets are embedded in your site, you get a permanent, non-exclusive license to use them as part of that site, and that license transfers with the site if you sell your business. Your right to use anything running on our platform ends when your plan ends.
- What transfers, and when: once your account is current and the $100 offboarding fee has cleared, what transfers to you is the website — its design, content, and files. Your domains are already yours; at that point we release them from our management and hand you everything needed to move them. Services that run on our platform, including Front Desk, lead capture, the review funnel, and the app, are included while your plan is active and do not transfer at any point.
- At handover: we disconnect your site from everything of ours it touches. You receive it as static files that run anywhere, with any connection back to our systems removed. Anything that relied on our platform — including your contact form — will need a new home before it works again; we’ll tell you what to replace and can quote the work. You get a copy of every lead your site has captured, and we permanently delete them from our systems at handover — we don’t keep your customer list after you leave.
- Showing your site as an example. You give us permission to show your finished website — screenshots, a link, and your business name — in our portfolio, on our website, and in our marketing. After your first twelve months, you can ask us in writing to stop: within 30 days we’ll remove the live link and your business name from anything we control. Screenshots of the design stay in our portfolio, without your name on them.
- Credit line. Every site we build carries a small credit in the footer — “Website & forms by Pittsburgh IT” — linking to pgh-it.com. The credit is part of the site as built and stays in place, including after ownership of the site transfers to you. Removing, hiding, or obscuring it is not permitted.
8. If a monthly payment fails
Most failed payments are an expired card, not a problem — so nothing drastic happens right away:
- We retry the card automatically over several days and email you a heads-up.
- At 14 days, if it still hasn’t gone through, your website is temporarily suspended (replaced with a “temporarily unavailable” page). Bring the account current and it’s back online within hours.
- At 45 days, the plan terminates: the site comes down and we stop paying to renew your domain. Because the domain is registered in your name, you can take over its renewal directly — we’ll tell you before we stop, and what you need to do. Once a domain expires it can be registered by anyone and may be unrecoverable. Any unpaid build fee remains due.
9. Cancelling, and after launch
ongoing care runs month-to-month. You may cancel any time with 30 days’ written notice (email is fine). We may adjust the monthly rate with at least 30 days’ notice. If you cancel, we’ll hand over your site files and release your domains per Section 5, subject to the offboarding fee in that section.
10. What this doesn’t include
To keep the price honest, the following are separate services, quoted on request: Google Business Profile setup and management, social media management, ongoing SEO campaigns, paid advertising, e-commerce or online booking systems, email hosting (e.g., Microsoft 365), photography, and copywriting beyond what your Order states.
11. Your responsibilities
You agree to: (a) provide accurate business information and keep us reasonably informed of changes; (b) only provide content you have the right to use — photos, logos, text, and reviews; (c) give us content and approvals within a reasonable time of our asking; (d) use the site and services lawfully; and (e) maintain a working payment method. You’re responsible for the accuracy of claims about your own business (licensing, insurance, certifications, pricing) that you ask us to publish.
If you materially breach this Agreement and don’t fix it within 15 days of our written notice, we may suspend or terminate the plan; any unpaid build fee remains due.
12. Service standards and disclaimer
We’ll perform all services in a professional and workmanlike manner consistent with industry standards. If something we did doesn’t meet that standard, tell us within 30 days and we’ll redo it at no charge — that’s your remedy and our promise. Beyond that, the services are provided “as is”: we don’t guarantee uninterrupted availability, search-engine rankings, traffic, leads, or revenue, and we disclaim all implied warranties to the fullest extent the law allows.
And this cuts both ways: if we materially fail to provide the services described in this Agreement and don’t fix it within 30 days of your written notice, you may terminate this Agreement and owe nothing further from that point forward.
13. Liability limits
Neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party’s total liability under this Agreement is capped at the fees you paid us in the six months before the event giving rise to the claim. These limits don’t apply to gross negligence, willful misconduct, fraud, your obligation to pay fees, or anything that can’t be limited under law. Both of us agree these limits are a fair allocation of risk that makes this pricing possible.
14. General
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (outages, disasters, vendor failures, and the like) — except payment obligations.
- Governing law and venue. Pennsylvania law governs, and disputes belong exclusively to the state and federal courts of Allegheny County, Pennsylvania. Before anyone files anything, we both agree to try to resolve the dispute by good-faith discussion for 30 days.
- Notices. Written notice by email is sufficient: to us at jon@pgh-it.com; to you at the email address on your account.
- Text message alerts (SMS). If you provide a mobile number for alerts, you agree that Pittsburgh IT may text that number about your account — new-lead notifications from your website, follow-up reminders, and service updates. Message frequency varies, and message and data rates may apply. Reply STOP to any message to opt out, or HELP for help. Consent to text messages is not a condition of purchasing our services, and opting out of texts won’t affect your plan — you’ll still receive the same alerts by email.
- Entire agreement. This Agreement, together with your Order, is the entire agreement for this build and replaces any prior discussions. If any provision is held unenforceable, the rest stands.
- Assignment. Neither party may assign this Agreement without the other’s consent, except to a successor in a sale of the business, with written notice.
Your Order
Every Custom build is accompanied by an Order — a short document issued to you that states exactly what we are building, any content we are producing, the domains covered, the build fee and payment schedule, the number of revision rounds, and the target launch window. The Order is part of this Agreement and is what defines your scope. You receive it before anything is signed or paid.
